Burgess can be 'fabulous' Stags signing – Holdsworth
The 28-year-old has joined on loan until January – but has agreed a deal to stay with the club until the summer of 2010.
Burgess has more than 350 games under his belt at Rushden, Oxford and Luton, who he joined in the summer.
"He's a real talent and I'm delighted we have got him," said Holdsworth. "It was a tough one, because four other clubs were interested.
"It says a lot about the man that he has come here because he is a Luton fan – it's a fabulous acquisition. I have got a huge amount of confidence and belief in his ability.
"Any manager will tell you they try to build a team and it takes time. I had to act in the summer but now things are taking shape."
Burgess, who won the Conference and Division Three titles in his first of two spells at Rushden can play anywhere across the midfield.
Holdsworth added: "Andy is a very accomplished player in all forward areas who can score goals, get quality balls into the box and find a pass. He is also of a size where he can win his fair share of headers.
"We have got the brawn in the squad, but Andy has got the brain. Along with Ryan Williams, he will give us quality in the right areas."
Right midfielder Craig Dobson has joined Kettering Town on loan.
